What does property law actually cover?
Property law governs a wide range of legal relationships involving property, including ownership, possession, transfer, sale, mortgage, lease, gift, inheritance and disputes.
For a person buying or selling immovable property, five concepts are especially important:
Title → Sale → Agreement → Registration → Mutation
These concepts are connected, but they are not the same thing.
What is a sale of immovable property?
Section 54 of the Transfer of Property Act, 1882 defines a sale as a transfer of ownership in exchange for a price paid or promised, or partly paid and partly promised. For the relevant categories of immovable property covered by the provision, the transfer is made by a registered instrument.
In simple terms:
A sale concerns the transfer of ownership, not merely an agreement to sell something in the future.
This distinction becomes important whenever a dispute arises between a buyer and seller.
What is an agreement to sell?
An agreement to sell is a contract under which the parties agree that a sale of the property will take place on agreed terms.
Section 54 specifically states that a contract for sale does not, by itself, create any interest or charge on the property.
Therefore, these statements should not automatically be treated as equivalent:
"I signed an agreement."
and
"Ownership has been transferred to me."
The legal effect depends on the transaction, document, statutory requirements and facts.
What is a sale deed?
A sale deed is the instrument through which a sale transaction is formally documented and, where registration is legally required, registered.
A properly drafted document should accurately reflect matters such as:
- Parties
- Consideration
- Property description
- Rights being transferred
- Relevant declarations
- Existing encumbrances, where applicable
- Possession terms
- Other transaction-specific conditions
The document should be examined in the context of the underlying title and transaction.
Why is registration important?
The Registration Act, 1908 identifies documents for which registration is compulsory under Section 17 and provides rules concerning the consequences of non-registration under Section 49.
This means registration is not merely a ceremonial step.
For a transaction involving an instrument that the law requires to be registered, failure to comply can have significant legal consequences.
The precise effect depends on the document and the applicable statutory provisions.
What is title?
Title refers broadly to the legal basis on which a person claims ownership or an interest in property.
Title can arise through different legal routes, including:
- Sale
- Inheritance
- Gift
- Partition
- Court decree
- Other legally recognised transfers
When checking title, the important question is not simply:
"Whose name is written somewhere?"
The deeper question is:
"What is the legal chain through which this person acquired the right or interest in the property?"
That is why previous title documents can be important.
Is a revenue record the same as a title document?
No.
The Supreme Court has repeatedly held that mutation and revenue entries generally have a fiscal purpose and do not themselves confer title. A 2025 Supreme Court judgment reiterated that mutation does not confer a right, title or interest.
This creates an important distinction:
Title documents and adjudicated rights
↓
Concern ownership/legal rights
Mutation/revenue entries
↓
Primarily serve revenue/fiscal functions
A revenue entry can therefore be relevant without being conclusive proof of ownership.
What is mutation?
Mutation is the process of recording a change in the revenue records after events such as a transfer, inheritance or other legally relevant change, depending on the applicable state system.
But mutation should not be confused with the creation of title.
The Supreme Court has stated that mutation is generally for fiscal purposes and does not itself create or extinguish title.
This distinction is particularly important in property and inheritance disputes.
What happens if the title is disputed?
A title dispute is different from a simple request to update a revenue record.
If two parties genuinely dispute ownership or legal title, the matter may require adjudication by the appropriate judicial forum.
The Supreme Court has reiterated that where a genuine title dispute exists, the party claiming the right may need to approach the appropriate court for adjudication.
So:
Mutation issue ≠ necessarily title adjudication
and
Title dispute ≠ automatically resolved merely by changing a revenue entry.
What if the seller refuses to complete an agreed sale?
The Specific Relief Act, 1963 provides a framework for specific performance of contracts, subject to statutory requirements and limitations.
Section 10 states that specific performance of a contract is to be enforced by the court subject to the provisions referred to in that section.
Depending on the facts, other remedies may also become relevant.
However, a person should not assume that signing any agreement automatically guarantees a particular court remedy. The actual document, conduct of the parties, limitation and statutory requirements matter.
